Manager, Equity and Exec Compensation

JOB ROLES AND RESPONSIBILITIES:

1. Oversee the administration of executive equity programs, including stock options, RSUs, and performance-based grants.
2. Manage the E*TRADE/Morgan Stanley @ Work platform as the primary program administrator, ensuring accurate tracking of grant issuance, vesting schedules, transactions, and participant communications.
3. Monitor and report on equity dilution, strike prices, and equity pool utilization, providing insights on trends and forecasting needs.
4. Maintain accurate records and ensure compliance with SEC and IRS regulations, stock plan governance, oversee and maintain relevant SOX controls and periodic testing, and proxy reporting requirements.
5. Oversee the administration of enrollment, offering periods and purchases under Claritev's employee stock purchase plans
6. Manage the E*TRADE/Morgan Stanley @ Work platform as the primary program administrator, ensuring accurate tracking of enrollment, offering periods and purchases under Claritev's employee stock purchase plan.
7. Monitor and report on equity dilution, strike prices, and equity pool utilization, providing insights on trends and forecasting needs.
8. Maintain accurate records and ensure compliance with SEC and IRS regulations and employee stock purchase plan governance.
9. Track and analyze holding power for executives, measuring the balance between cash compensation and long-term incentives to ensure alignment with retention and business objectives.
10. Partner with Finance to develop models that assess the competitiveness and effectiveness of executive pay structures.
11. Provide insights and recommendations on adjustments to long-term incentive plans based on business performance, peer benchmarking, and market trends.
12. Prepare detailed materials and presentations for board and compensation committee meetings, ensuring clarity and alignment with strategic goals.
13. Support the Lead of Compensation & Benefits in responding to board and executive leadership inquiries regarding equity strategy, dilution impact, and compensation benchmarking.
14. Collaborate with Legal, Finance, and HR teams to ensure best practices in executive compensation governance and compliance.
15. Own and manage the equity email inbox, providing timely and accurate responses to executive and employee inquiries.
16. Develop educational materials and executive summaries to enhance understanding of equity compensation and employee stock purchase programs.
17. Ensure transparency and clarity in equity grant communications, including offer letters, award agreements, and participant guides.
18. Own and refine the equity strategy, ensuring competitive and fair allocation of equity pools while balancing business objectives and shareholder interests.
19. Track and analyze equity usage and pool availability, ensuring efficient forecasting and sustainability of long-term incentive plans.
20. Partner with leadership to design and implement grants, retention programs, and performance-based equity awards that drive long-term value creation.
21. Select, develop, and evaluate staff to ensure the efficient operation of department.
22. Collaborate, coordinate, and communicate across disciplines and departments.
23. Ensure compliance with HIPAA regulations and requirements.
24. Demonstrate Company's Core Competencies and values held within.

JOB SCOPE:
The ideal candidate is highly analytical, detail-oriented, and experienced in executive compensation programs, SEC reporting, IRS compliance, equity plan management, and employee stock purchase plan management. This role requires strong collaboration with the Executive Leadership Team, Finance, Legal, and Talent leadership to ensure compliance, competitive positioning, and alignment with Claritev's business strategy.

Job Requirements:

JOB REQUIREMENTS (Education, Experience, and Training):

* Bachelor's degree in Finance, Human Resources, Business Administration, or a related field.
* 5+ years of experience in executive compensation, equity administration, or a related discipline.
* Strong knowledge of equity compensation programs, stock plan administration, employee stock purchase plans, and SEC compliance requirements.
* Hands-on experience with E*TRADE/Morgan Stanley @ Work or similar equity management platforms.
* Strong skills in Word, Excel and PowerPoint
* Analytical mindset with deep expertise in financial modeling, equity valuation, and executive pay benchmarking.
* Strong written and verbal communication skills, with the ability to engage effectively with executives and board members.
* Experience working cross-functionally with Talent, Finance, Legal, and external compensation consultants.
* Certified Equity Professional (CEP) designation or progress toward certification is a plus.

The salary range for this position is $90-125K.  Specific offers take into account a candidate’s education, experience and skills, as well as the candidate’s work location and internal equity.  This position is also eligible for health insurance, 401k and bonus opportunity.
